By submitting this application, the Affiliate agrees to the following terms, which will become a legally binding contract if the application is accepted:
1. Affiliate Commitments
a) Create a profile in the WWIDER© application and explore all its features.
b) Attend a 30-minute online training session with Winfried Windegger to understand the setup process.
c) Promote WWIDER© ethically, without using spam or deceptive practices.
d) Add the following code snippet to their website:

Note‼️ Replace XXX with the affiliate code provided after acceptance of the application.
2. Commitments of WWinder Sales Consulting Sàrl
a) Provide the Affiliate with the necessary promotional materials.
b) Track the sales generated through the Affiliate's efforts.
c) Pay a commission of 20% (excluding VAT) on the subscription amounts paid by customers brought by the Affiliate.
Commissions will be paid via bank transfer no later than 75 days after the customer’s payment. This delay accounts for a 60-day period during which WWinder Sales Consulting Sàrl accepts cancellations for technical reasons that prevent proper setup of WWIDER©.
d) If the customer cancels within that period, no commission will be paid to the Affiliate.
3. Start and Duration of the “Affiliate Agreement”
These terms become a contract between the parties once:
a) WWinder Sales Consulting Sàrl sends an affiliate link by email to the applicant, and
b) The Affiliate publishes the provided dofollow link on their website.
From that point forward, these terms constitute the full agreement between the parties. Any modification must be made in writing and signed by both parties.
4. Non-Exclusivity
This affiliate contract does not grant the Affiliate any exclusivity.
WWinder Sales Consulting Sàrl remains free to collaborate with other affiliates in the same industries or regions.
5. Intellectual Property & Confidentiality
a) All trademarks, logos, content, and materials provided by WWinder Sales Consulting Sàrl remain its exclusive property.
b) The Affiliate may not modify or use them outside the scope defined in this contract.
c) The Affiliate agrees to keep all information related to WWIDER© and WWinder Sales Consulting Sàrl strictly confidential.
6. Independence of the Parties
Each party acts independently, both legally and financially.
The Affiliate is not an employee, agent, or representative of WWinder Sales Consulting Sàrl and has no authority to bind or represent the company in any capacity.
7. Limitation of Liability
WWinder Sales Consulting Sàrl shall not be held liable for the Affiliate’s actions or published content.
The Affiliate agrees to indemnify and hold harmless the company from any claims, disputes, or damages arising directly or indirectly from their promotional activities or failure to comply with these terms.
8. Force Majeure
Neither party shall be held liable for failure to fulfill obligations in cases of force majeure (natural disasters, conflicts, infrastructure failure, etc.).
9. Termination
Either party may terminate this agreement at any time with 30 days’ notice via email or postal mail.
If terminated by the Affiliate, commissions will be paid for WWIDER© contracts that were concluded and paid before the termination date, in accordance with Section 2.
No commissions will be paid for renewals or new sales occurring after the termination.
In the event of serious misconduct by the Affiliate (fraud, non-compliance with terms, or damage to the image of WWIDER© or WWinder Sales Consulting Sàrl), WWinder Sales Consulting Sàrl may terminate the agreement immediately and without notice. In such cases, no commissions will be paid, even on pending or unconfirmed deals.
10. Dispute Resolution
Before initiating legal action, both parties agree to seek an amicable solution within 30 days of written notification of the dispute.
11. Governing Law and Jurisdiction
If accepted, this affiliate contract will be governed by Swiss law.
Any dispute not resolved amicably shall be submitted exclusively to the competent courts of the Canton of Geneva.
12. Changes to the Terms
WWinder Sales Consulting Sàrl reserves the right to amend these terms at any time, with a 30-day notice sent by email.
If the Affiliate does not object in writing within this period, the new terms will be deemed accepted.
